Terms of sale

1. Who we are

"Ledger Bioscience," "we," "us," and "our" refer to {{ Legal entity name }}, a {{ State }} {{ entity type }}, with registered address at {{ Street, City, State, ZIP }}. "You" refers to the buyer placing an order through ledgerbioscience.com or any successor URL operated by Ledger Bioscience.

2. Research-use-only restriction

All products sold by Ledger Bioscience are sold strictly for in vitro laboratory research and analytical use only. They are not drugs, foods, cosmetics, dietary supplements, or medical devices, and are not intended for use in or on humans or animals. By placing an order you represent and warrant that:

1. You are at least the age of majority in your jurisdiction (and at least 21 years of age in the United States).
2. You are acquiring the product solely for in vitro laboratory research, analytical reference, or assay development, in a setting with appropriate laboratory infrastructure.
3. You will not administer the product to yourself, any other human, or any animal, and will not provide it to any third party who will do so.
4. You will comply with all applicable federal, state, and local laws governing the possession, handling, and disposal of research chemicals in your jurisdiction.

3. Acceptance and pricing

An order is an offer to purchase. Ledger Bioscience reserves the right to accept or reject any order at our sole discretion, including for reasons of inventory availability, jurisdictional restriction, or buyer eligibility. Prices listed on the website are subject to change without notice; the price applicable to your order is the price displayed at the time we accept the order. Taxes, shipping, and any applicable customs duties are additional and shown at checkout where applicable.

4. Payment

We accept payment by {{ accepted methods — card, ACH, crypto, wire }}. Orders are processed once payment is received in full. We reserve the right to require additional verification for high-value or first-time orders.

5. Shipping and risk of loss

Domestic orders typically ship within one business day of acceptance. International orders may take longer subject to customs and carrier processing. Risk of loss passes to the buyer upon delivery to the carrier. Tracking is provided by email. Where customs, duties, or local regulatory clearance is required, the buyer is responsible for compliance.

6. Returns, replacements, and refunds

If a vial arrives damaged, unsealed, or with a label that does not match the order, contact research@ledgerbioscience.com within seven days with photos and your order number; we will replace the affected unit at our cost. If a third-party laboratory test of a Ledger Bioscience batch materially disagrees with the COA we published for that batch, send us the report and we will refund the order and investigate publicly.

Other than the above, all sales are final. Returns of unopened product are not accepted because chain-of-custody integrity cannot be re-established once a vial leaves our facility.

7. Warranty and limitation of liability

Ledger Bioscience warrants that products will conform to the published certificate of analysis at the time of shipment. To the maximum extent permitted by applicable law, this warranty is exclusive and in lieu of all other warranties, express or implied, including any warranty of merchantability or fitness for a particular purpose.

To the maximum extent permitted by applicable law, Ledger Bioscience's aggregate liability for any claim arising out of or related to a product or order shall not exceed the amount paid by the buyer for the product giving rise to the claim. Ledger Bioscience shall not be liable for indirect, incidental, special, consequential, or punitive damages.

8. Indemnification

You agree to indemnify and hold Ledger Bioscience, its officers, employees, and agents harmless from any claim, loss, damage, or expense (including reasonable attorneys' fees) arising from your breach of these terms, your misuse of any product, or any use of a product outside the scope of in vitro laboratory research and analytical use.

9. Restricted regions

We do not ship to certain jurisdictions where the sale of research peptides is prohibited or restricted. See our restricted regions page for the current list. Orders from prohibited jurisdictions will be rejected and refunded.

10. Governing law and dispute resolution

These terms are governed by the laws of {{ Jurisdiction }}, without regard to conflict-of-law principles. Any dispute arising out of or related to these terms or any order shall be resolved in the courts of {{ Jurisdiction }}, except where superseded by binding arbitration if required by applicable consumer-protection law.

11. Changes

We may update these terms from time to time. The updated version will be posted on this page with a new "Last updated" date and applies prospectively to orders placed after the update.
